14 June 2000

Promotions, New Hire Strengthen Manufacturing, Sales & Marketing

MADISON HEIGHTS, Mich. - Code-Alarm, Inc. today announced several key
adjustments to its senior management to support a major new technology push,
scheduled to debut this summer.

The Madison Heights, Mich.- based manufacturer of vehicle security, remote
keyless-entry and remote car starters has promoted three long-time executives,
including two at the vice president level, to provide increased focus to its
manufacturing, sales and marketing efforts. The Company has also hired an
experienced human resources professional to lead its HR efforts.

"The changes to our management structure allow us to focus more attention
and resources on critical areas of our business: developing new technology,
manufacturing new products and selling those products to OEMs and the
aftermarket," said Peter J. Stouffer, President and Chief Operating Officer of
Code-Alarm. "As we begin to bring new technology to market, these adjustments
will ensure our key managers have the resources needed to be successful -- and
to support that success going forward.

"We feel our new products, which Code-Alarm plans to introduce this
summer, will set industry standards for vehicle convenience and security
products for years to come. I look forward to working closely with these four
managers as they step into their new positions and responsibilities at Code-
Alarm."

    The management changes include:

    * Michael Schroeder has assumed the new position of Vice President of
Marketing and Business Development where he will focus on marketing Code-
Alarm's new technology and developing new customers for that technology. As
head of this newly created business unit, Schroeder will have responsibility
for OEM and Tier One business development, as well as corporate marketing and
program management. The Company plans to hire four managers to handle the
day-to-day operations in each of these areas; all four and their staffs will
report to Schroeder. Schroeder brings 17 years of management experience in
automotive electronics to his new position. He spent five years as vice
president of sales and marketing at Code-Alarm and has also served as sales
director for Code-Alarm in the United Kingdom. He has also held several
positions as regional, brand and national sales manager for the Company.

    * David Rupert has been named Vice President of Operations, expanding his
role at Code-Alarm after spending five years as Manufacturing Manager. In his
new role, Rupert will have responsibility over all the areas that will be
required to deliver the new technology to market, including manufacturing
operations, purchasing, logistics, manufacturing engineering and quality
assurance. Rupert, an 11-year veteran at Code-Alarm, has also served in
several engineering positions prior to his promotion. He spent two years as
an engineer at General Motors Corp. before joining Code-Alarm.

    * Joe Dentamaro has been named Director of Field Sales, with
responsibility for managing the Company's aftermarket and original equipment
manufacturer (OEM) sales forces. Dentamaro, a 10-year Code-Alarm veteran, has

regional sales manager positions and brand manager. Prior to joining Code-
Alarm in 1990, he spent 10 years with Elk Grove Village-based Chapman
Industries Corp., serving in a variety of sales and service-related positions.

    * Jeff Parrish, a new addition to Code-Alarm, will serve as Human
Resources Manager, with responsibility for all human resources, training and
