4 May 2000

VSI Holdings, Inc.'s Client List Expands
BLOOMFIELD HILLS, Mich., May 4 VSI Holdings, Inc. today announced that its
marketing services subsidiary, Visual Services, Inc., was awarded an Intranet
development contract with Mercedes-Benz -- further expanding the company's
list of automotive clients. The Intranet site, now under development, will
serve as a factory-to-dealer reference tool, allowing Mercedes-Benz Retailers
to access both personal and automotive accessory information in a centralized
location.

With this Web-based accessories master database, Retailers will have the
ability to access part number, description, photography, application
specifications and pricing information for each accessory that Mercedes-Benz
offers.

"The Mercedes-Benz Accessories Intranet site will be a significant,
company-wide online asset that brings our Retailer network closer together.
It will be a constant, up-to-date solution that ensures Retailers can always
access the latest information about our personal and automotive accessories,"
stated Glenn Rizzo, Department Manager, MBUSA Accessories Marketing.

"VSI Holdings is honored to be aligned as an e-solutions marketing
services provider for Mercedes-Benz. We look forward to further building upon
this relationship by offering new creative solutions in the future," commented
VSIH Chairman and CEO Steve Toth Jr.
