Simpson Industries Wins Proxy Contest Final Count Certification from Independent Inspector of Elections ReceivedPLYMOUTH, Mich., May 3 Simpson Industries, Inc. (Nasdaq: SMPS) today announced that final certification of votes cast at the Company's Annual Meeting on April 18 confirmed that its shareholders had voted to support management on both contested proposals by a wide margin. As a result, all of management's nominees were elected to the Board of Directors and the MMI Investments proposal to auction the Company was rejected. The certification by CT Corporation System, a highly respected independent firm, followed a review session in which MMI Investments, the sponsor of the shareholder proposal, was given the opportunity to challenge proxies submitted at the Annual Meeting. CT Corporation System also conducted that review session and ruled on all issues raised by MMI. Roy E. Parrott, Chairman and Chief Executive Officer, stated: "We are pleased to note that over 82% of Simpson shares, an unusually high quorum, were represented at the meeting and that the independent inspector has certified the result and confirmed that all valid proxies were properly counted." "More importantly," Parrott added, "we are pleased that Simpson shareholders have supported our strategic plan and have elected to the Board experienced directors with the best interests of all shareholders in mind. The Board of Directors, however, is concerned about the undervaluation of shares in the current market despite our record sales and earnings and bright prospects and it will continue to explore alternative ways to increase shareholder value." Simpson Industries supplies powertrain and chassis products to original equipment manufacturers in the worldwide automotive and medium and heavy duty diesel engine markets. Simpson's products are focused in three groups: noise, vibration and harshness, wheel-end and suspension, and modular engine assemblies. Simpson's manufacturing units are located in the United States, Canada, Mexico, Brazil, England, India, France, Spain and South Korea.
