Simpson Industries Wins Proxy Contest Final Count Certification from Independent Inspector of Elections Received
    PLYMOUTH, Mich., May 3 Simpson Industries, Inc.
(Nasdaq: SMPS) today announced that final certification of votes cast at the
Company's Annual Meeting on April 18 confirmed that its shareholders had voted
to support management on both contested proposals by a wide margin.  As a
result, all of management's nominees were elected to the Board of Directors
and the MMI Investments proposal to auction the Company was rejected.  The
certification by CT Corporation System, a highly respected independent firm,
followed a review session in which MMI Investments, the sponsor of the
shareholder proposal, was given the opportunity to challenge proxies submitted
at the Annual Meeting.  CT Corporation System also conducted that review
session and ruled on all issues raised by MMI.
    Roy E. Parrott, Chairman and Chief Executive Officer, stated:  "We are
pleased to note that over 82% of Simpson shares, an unusually high quorum,
were represented at the meeting and that the independent inspector has
certified the result and confirmed that all valid proxies were properly
counted."
