Autoliv's Acquisition from NSK Completed

14 April 2000

Autoliv's Acquisition from NSK Completed
STOCKHOLM, Sweden, April 14 Autoliv Inc. (NYSE: ALV) and
(SSE: ALIV) -- the world-wide leader in automotive safety systems -- has
reached a final agreement to acquire the seat belt operations of NSK Ltd., the
Japanese bearing company. The memorandum-of-understanding about the
transaction was announced on February 25. All necessary governmental approvals
have also been cleared.
The acquisition will give Autoliv over 20% of the Japanese seat belt
market, strengthen Autoliv's seat belt position in North America and make
Autoliv the global sales leader also in seat belts, after having become the
world's largest company for airbags.
The transaction follows the previously announced schedule, which means
that Autoliv has acquired 100% of NSK's North American seat belt operations as
of April 1 this year. This part of the business has annual sales of
$70 million.
The remaining portion of NSK's seat belt business, which has sales of
approximately $250 million, will be acquired in three steps, starting with
40% as of April 1, 2000, followed by 30% two years later and ending with the
remaining 30% on April 1, 2003. This means that this part of the acquisition
will be consolidated by Autoliv beginning April 2002.
The business that Autoliv acquires has just over 1.000 employees. The
acquisition is expected to have no significant impact on Autoliv's earnings
for 2000 and 2001.

Autoliv Inc. develops and manufactures automotive safety systems for all
major automotive manufacturers in the world. The company has more than
60 wholly-owned subsidiaries and joint ventures with close to 24,000 employees
in 29 vehicle-producing countries. In addition, the company has eight
technical centers around the world, including 19 test tracks, more than any
other automotive safety supplier. Sales in 1999 amounted to US $3.8 billion
and net income US $200 million. The company's shares are listed on the
New York Stock Exchange (NYSE: ALV), its Swedish Depositary Receipts on the
Stockholm Stock Exchange (SSE: ALIV) and its stock options on the Chicago
Board Options Exchange (CBOE: ALV.)
