Pennzoil-Quaker State Company Acquires U.K. Automotive Air Freshener And Chemicals Businesses

    HOUSTON, April 11 Pennzoil-Quaker State Company
announced today that its wholly owned subsidiary, Pennzoil-Quaker
State, Limited has signed a definitive agreement to acquire two automotive
consumer products companies, Airfresh UK Limited and Bluecol Brands Limited,
from U.K. based Armour Trust plc.  The transaction is expected to close by
April 30, 2000.
    Airfresh, based in Rugby, England, is a leading manufacturer, marketer and
distributor of air freshener and fragrance products for the automotive
aftermarket in the U.K. and France.  "The acquisition of Airfresh UK Limited
and Bluecol Brands represents another step towards our global vision of
becoming consumers' first choice for automotive products and services that
enhance the car and the driving experience," said Carlos Alcantara, president
of international operations for Pennzoil-Quaker State Company.
    John Kegg, managing director of Pennzoil-Quaker State, Limited said, "This
is an excellent opportunity to create significant growth and cost savings by
combining Airfresh with our existing European Medo(R) brand air freshener
business."
    Bluecol, based in Basingstoke, England, manufactures, markets and
distributes branded antifreeze, glass cleaning products, rust treatments,
cooling system treatments and exterior appearance products for the U.K.
automotive aftermarket.  Bluecol is the leading branded retail packaged
antifreeze in the U.K. with a market share of 20 percent.  Other leading U.K.
brands within the Bluecol family include Nilco(R), Jenolite(R), Bars(R),
Lacro(R) and Wizard(R) car care products.
    Pennzoil-Quaker State Company is a leading worldwide automotive consumer
products company, marketing over 1,300 products with 20 leading brands in more
