Oasis Car Wash Inc. Takes Steps Toward Becoming a Public Company

    DALLAS--April 4, 2000--Oasis Car Wash Inc. recently completed a reverse triangular merger involving HomeCare United, Inc. (HUI), a shell corporation with approximately 900 shareholders.
    As a result of the merger, Oasis Car Wash Inc. became a subsidiary of HUI, which subsequently changed its name to Oasis Holdings, Inc. (Oasis). The merger also resulted in Oasis becoming subject to the reporting requirements of the SEC. Oasis is currently preparing its first SEC filing, which it expects to submit in April 2000. Upon acceptance of this filing, Oasis will begin filing periodic reports with the SEC.
    The principals of Oasis Car Wash Inc., Richard W. Weyand and Apollo Real Estate Investment Fund III, L.P. (Apollo), continue to own in excess of 90% of the fully diluted common stock of Oasis Holdings Inc. In conjunction with the merger, Apollo converted approximately $16 million in debt, accrued interest and dividends into preferred stock of Oasis.

Oasis intends to continue its growth in the car wash industry with the continued strategic development and acquisition of car wash units throughout the United States."
    Commenting on what is next on the agenda, Weyand went on to say, "Oasis is now taking the necessary steps to establish a trading market for its common stock."
