Mace Security International Signs Definitive Purchase Agreement To Acquire Blue Planet Car Wash In Its Texas Region

    MOUNT LAUREL, N.J., Feb. 3 -- Mace Security International,
Inc. (MSI) today announced that it has signed a definitive
purchase agreement to acquire Blue Planet Car Wash, located in a suburb of
Dallas, Texas.  Pursuant to the Blue Planet definitive purchase agreement, MSI
will immediately begin operating Blue Planet's car wash location under an
Operating Agreement.
    Blue Planet will be added to MSI's Texas Region operation, which currently
consists of 22 full service car wash locations.  Blue Planet is a full service
car wash containing professional detailing, gasoline dispensing services and a
retail product store.  This car wash provides washing, waxing and interior and
exterior detail services.  Ultimately, MSI plans to construct an oil and
lubrication center at this car wash location.
    Louis D. Paolino, Jr., CEO and Chairman of MSI, said, "MSI is now
operating 11 car washes in the surrounding area of Dallas and Ft. Worth,
Texas.  We are very delighted with the solid presence we have established in
this specific region because of the tremendous potential for increasing car
wash volume through aggressive consumer advertising.  We feel that through
well-planned advertising in markets where MSI is highly concentrated with car
wash locations, the increasing potential for attracting car owners not
currently utilizing car care services is very achievable."  He added, "This
will also enable us to maximize the business's attainable internal growth
potential by adding ancillary profit centers to these locations.  In this
region specifically, we will immediately focus on implementing our Express
Detail Program into every location as well as constructing high-end oil and
lubrication centers where strategically appropriate."
    This agreement is subject to customary closing conditions.  Although there
can be no assurance that this acquisition will ultimately close, the Company
is confident that the conditions will be satisfied.
