Top Driver Acquires 1-888-Traffic School; Florida Acquisition Broadens Driver Training Programs
    JACKSONVILLE, Fla., Feb. 1 -- Top Driver, the nation's
largest and fastest growing driver education company, announced today that it
has purchased 1-888-Traffic School, Inc. ("1-888-TS"), based in Jacksonville,
Florida.  With 150 approved locations, 1-888-TS is the largest driver
improvement program in Florida.
    "One of our goals for 2000 was to create a strong presence in the Florida
market," said Sebastian Giordano, Top Driver President and Chief Operating
Officer.  "The acquisition of 1-888-TS enables Top Driver to be the premier
provider of traffic violator and driver improvement programs in the state.
This is an excellent strategic acquisition for Top Driver, and Ken Underwood,
the founder of 1-888-TS, is a great addition to our management team," added

    Founded by Mr. Underwood in 1994, 1-888-TS employs 140 people and
graduated over 100,000 students last year.  Underwood will hold an executive
position with Top Driver to expand its violator programs nationwide and help
develop additional business opportunities for the Company.

    With approximately 200 locations in Connecticut, Florida, Indiana, New
Jersey, New York, and Ohio, Top Driver is the first to deliver standardized
curriculum with automobile product and service information, MetLife Auto
insurance services, driving accessories and Department of Motor Vehicle
services.
