    Under the agreement, Wrenchead.com will receive exclusive marketing and
distribution rights to Profit Pro's new Proficy Service Management(TM) and
Proficy Lite(TM) e-commerce technology, in addition to an unlimited license to
distribute and use Profit Pro's Electronic Parts Catalog database.  Profit Pro
will provide business software and electronic parts cataloging technology and
CompUSA PC will offer hardware, training, support and warranty service.

(http://www.wrenchead.com), the addition of Proficy technology is designed to
uniquely position Wrenchead.com as a leading provider of e-commerce tools for
both Business-to-Consumer and Business-to-Business for the automotive
