Code-Alarm, Inc. Appoints New President and Chief Operating Officer
    MADISON HEIGHTS, Mich., Jan. 6 -- Code-Alarm, Inc.
(OTC Bulletin Board: CODL) announced that its board of directors has promoted
Peter J. Stouffer to serve as president and chief operating officer of the
Madison Heights, Mich.-based maker of car security and remote-keyless entry
products.
    Stouffer, who previously served as vice president of manufacturing and
engineering, will assume responsibility for the day-to-day operations of Code-
Alarm.  His promotion will allow Company founder Rand W. Mueller, who retains
the titles of chairman and chief executive officer, to focus his efforts on
long-range planning and promoting Code-Alarm to Tier 1 and Tier 2 automotive
companies.
    "Peter has been a tremendous asset to Code-Alarm since joining the company
in 1986," said Mueller, who relinquished the title of president.  "He has
taken on positions of increasing responsibility during this time and exceeded
our expectations with each new set of challenges.  I have every confidence he
will succeed in his new role as president and chief operating officer and help
Code-Alarm accelerate its growth."
    Stouffer, 36, left an engineering position with General Motors Corp. in
1986 to join Code-Alarm as a manager of engineering.  He was promoted to vice
president of engineering in May 1989 and then to executive vice president and
general manager of the Company's Intercept Systems, Inc. the following year.
Code-Alarm named Stouffer to the post of vice president for engineering in
January 1993.  Two years later, Stouffer was appointed to Code-Alarm's board
of directors and given additional responsibility for global manufacturing.

    Code-Alarm manufactures vehicle security, remote keyless-entry and
car-start products for the world's top automakers, including General Motors,
Ford, DaimlerChrysler, Mitsubishi, Subaru, Honda, Kia, Toyota and Volkswagen.
The Company also sells its products in 35 countries around the globe under the
Code-Alarm(TM) and Chapman(TM) brand names.
