Varitek Locks-Up Advanced Technology for Wireless Auto Security & Navigation System
    HOUSTON, Dec. 28 -- Varitek Industries, Inc.
(OTC Bulletin Board: VATK) announced today the signing of an exclusive
licensing agreement with Dinet Distributed Networks, Inc., developer of
advanced satellite-locator, monitoring and communications technology.
    The five-year/five-year-rollover-option agreement enables Varitek's
technology subsidiary, Varitek Technologies Group, to dramatically accelerate
its plan to launch an affordable, on-board, 24-hour monitored security,
surveillance and information service for all auto owners.  Dinet receives a
substantial up-front licensing fee plus an equity stake in the company.
    The announcement, made by Varitek Technologies Group Chairman and CEO,
Randy S. Bayne, is the fruit of months of negotiation and due diligence by
Dinet, Inc., a subsidiary of Wireless Data Solutions, Inc.
    "Before Dinet would even consider an exclusive agreement, they needed to
be convinced we were the strongest candidate to bring their remarkable
technology to market," stated Bayne.  "We respect their high standards and are
delighted with their decision."
    "In fact, our mutual intent is the merger our enterprises," continued
Bayne, "but there was no reason to constrain the product launch with that sort
of organizational dental work.  We both agree the market is simply too hot,
too ready."
    The Dinet GPS-based locator, monitoring and communications technology
helps bring the cost of advanced telematics to within a range accessible to
most drivers.  ("Telematics" is the term used to refer to mobile technology
products which combine navigation and security with Global Positioning Systems
and wireless communication for real-time surveillance and services.)
    "Our agreement with Dinet puts us right where we want to be as we prepare
to mass-market a product/service which combines cellular communications;
global positioning technology; an advanced on-vehicle integrated
communications platform; and a 24-hour customer-personalized monitoring
service," Bayne continued.

are ready to deliver.  We're now extremely close to making everyone very, very
happy."
