Turbodyne's Board Appoints New Disclosure Committee; Turbodyne Is Selecting New Accounting Firm
CARPINTERIA, Calif.--Dec. 9, 1999--Turbodyne Technologies Inc.'s (EASDAQ:TRBD.) Board of Directors, chaired by Professor Dr.-Ing. Peter Hofbauer, announced that Turbodyne has retained a new Disclosure Committee, consisting of three members, replacing the current committee in its entirety.Three recognized authorities in the Securities and Exchange field have agreed to serve on this Disclosure Committee: Senator Larry L. Pressler, Charles R. McCarthy, Jr. and John M. Fedders. The Disclosure Committee advises on, approves and monitors Turbodyne's news releases.
Senator Larry Pressler has served as Member of Congress for 22 years, 18 of which in the U.S. Senate. Among other positions held, he was Chairman of the Senate Commerce, Science and Transportation Committee, and he authored the Telecommunications Act of 1996.
Charles McCarthy draws on more than 25 years of experience in a corporate and securities practice, is a recognized author on corporate governance issues and, earlier in his career, had served the Securities and Exchange Commission as trial attorney.
John M. Fedders, a former Director of Enforcement of the Securities and Exchange Commission, applied his expertise in later positions at law firms and financial enterprises to combine government, corporate and legal requirements.
Turbodyne's CEO, Gerhard Delf, commented, "This new Disclosure Committee of independent experts will review and approve all of the Company's public communications. This will ensure that all of Turbodyne's reporting of Company matters will be factual and objective."
KPMG has resigned from the client-auditor relationship between Turbodyne Technologies Inc. and subsidiaries and KPMG. The Company is actively pursuing the retention of another qualified firm to serve as the independent public accountant.
Turbodyne Systems, the Engine and Pollution Technology Division of Turbodyne, designs, develops, manufactures and markets patented pollution-reduction, fuel economy and performance-enhancing products for internal combustion engines in the automotive, construction, marine, mining and military industries.
Turbodyne's Light Metals Division is a manufacturer of machined aluminum castings and a supplier to the automotive industry.
