Changes in the Executive Board of Mannesmann AG
    DUESSELDORF, Germany, Nov. 19 -- Dr. Wolfgang Peter (58), who
is responsible for the Automotive sector on the Executive Board of Mannesmann
AG, will be leaving the Board at his own request at the end of this year.
Dr. Peter has chosen this date to step down in Mannesmann's long-term
interests, providing the company with greater leeway in its efforts to
establish a managerial structure for the Mannesmann Engineering & Automotive
AG which is shortly to be set up.
    During the transition period until an Executive Board for the Mannesmann
Engineering & Automotive AG is appointed, Georg Acker (59), who is currently
in charge of the Engineering sector on the Executive Board of Mannesmann AG,
will take over responsibility for the Automotive sector.
    Peter Gerard (52), member of the Executive Board of Mannesmann AG since
the beginning of 1999, is today taking over responsibility for the newly
created "Tele-Commerce, Information Technology" business unit.  Mr. Gerard was
in charge of developing the strategic concept for the future-oriented
Tele-Commerce and Internet Communications sector at Mannesmann.  Work has been
in progress on the implementation of this concept for quite some time.  By
focusing on these technologies, Mannesmann has been underlining the extreme
importance of this new sphere of business.  Mannesmann, with D2 and Omnitel,
is the leading European provider of mobile communications services and, with
Arcor and Infostrada, the leading competitive oriented provider of fixed-line
network communications services in Germany and Italy, in addition to being a
provider of internet online services in both Italy and Germany.
