The Audit Committee has also advised the Company that, based upon interviews conducted and documents reviewed to date, although the investigation has not yet been completed, the Audit Committee has not learned anything which would require prior period financial statements to be restated beyond the levels identified in the Company's November 9, 1999 press release and its Form 10-Q for the second quarter of fiscal 2000. The Company had previously reported that its management had uncovered certain matters relating to the Company's financial statements for each of the fiscal years 1998 and 1999 which will require further investigation and a restatement of such financial statements as well as the financial statements included in the report on Form 10-Q for the first quarter of fiscal 2000. The discovery was immediately brought to the attention of the Company's board of directors and independent auditors. The restatement is expected to primarily relate to reported results of non-core operations. The Company's audit committee, consisting solely of outside members of the Board of Directors, with the assistance of special counsel and a public accounting firm, is conducting a thorough investigation of the matters identified. This press release contains forward-looking statements. The Company wishes to caution the reader of this press release that such forward-looking statements, including but not limited to the second paragraph, are subject to various known and unknown risks and uncertainties including further adverse findings in the investigation -- which has not yet progressed to the stage where conclusive findings can be made -- and that such additional findings could delay the completion of the investigation; and the effect of the investigation on lenders, customers and suppliers. Additional information on factors that could potentially affect the Company's financial results may be found in the Company's filings with the Securities and Exchange Commission.
