Nostalgia Motorcars files 10-SB With SEC to Become Fully Reporting Company
PHOENIX--Oct. 14, 1999--Nostalgia Motorcars Inc. announced that it has filed a Form 10-SB registration statement with the U.S. Securities and Exchange Commission ("SEC") on Oct. 4, 1999.This filing is required pursuant to new regulations of the Over The Counter Bulletin Board ("OTCBB"), which requires that all companies must be fully reporting companies (in accordance with the Securities and Exchange Act of 1934) to qualify to be listed on the OTCBB.
The National Association of Securities Dealers ("NASD"), which regulates the OTCBB, has established compliance dates for all OTCBB companies by way of alphabetical order of their trading symbols.
Any OTCBB company that is not in compliance with its respective NASD deadline, will be delisted from the OTCBB until such a time as it fully complies with the SEC registration. Accordingly, Nostalgia Motorcars Inc. (NMCI) must have its Form 10-SB effective, on or before Oct. 20, 1999 to avoid temporary delisting.
All Form 10-SB filings are subject to full review and, if necessary, comment by the SEC and therefore no assurances can be provided that approval of the NMCI Form 10-SB will be effective prior to Oct. 20, 1999. NMCI believes that it has filed a very complete, accurate and detailed Form 10-SB.
