agreement to acquire First Parts, Inc., subject to normal closing conditions.
First Parts, Inc. is the leading provider of outsourced sales and marketing
services to Original Equipment Manufactured (OEM) parts dealers. The new
combination will deliver Internet-based procurement services between thousands
of OEM dealers and repair facilities.  The acquisition supports
Carstation.com's continued commitment to implement business solutions that
