HDA Parts System, Inc. and Quality Distribution Service Partners, Inc. Sign Definitive Merger Agreement
DEERFIELD, Ill.--Sept. 10, 1999--Two of the nation's leading aftermarket distributors of heavy-duty truck parts have announced plans to merge their operations. HDA Parts System, Inc. headquarted in Deerfield, IL and Quality Distribution Service Partners, Inc. of Itasca, IL have signed a definitive agreement to combine their operations to form the largest independent distributor in the heavy-duty truck parts aftermarket.As previously announced, the new company will be named FleetPride when the merger is complete and will have revenues exceeding $500 million with more than 150 locations nationwide. FleetPride will carry a full line of nationally recognized brand name parts in all of its locations. In addition, the company's locations will offer an array of in-house re-manufactured products such as brake shoes, transmissions, rear axles and driveline components. Truck repair services also are offered at many locations.
The consummation of the transaction is subject to satisfaction of typical closing conditions and is expected to be finalized by the end of September.
