SPX Corporation to Acquire North American Transformer
    MUSKEGON, Mich., Aug. 16 -- SPX Corporation today
announced it has signed a definitive agreement to purchase North American
Transformer Inc., from Rockwell International Corporation .  The
transaction is expected to be completed by the end of September, subject to
Hart Scott Rodino review.  Terms of the agreement were not disclosed.
    John B. Blystone, Chairman, President and CEO of SPX Corporation said,
"The combination of North American Transformer with our Waukesha Electric
Systems business will broaden our product and service offering, and position
the business for additional international expansion."
    Waukesha Electric is the leading manufacturer of medium-power transformers
in the U.S.  The business also supplies compact integrated substations and
surge arresters for electric utilities and industrial/commercial firms.
Waukesha Electric is based in Waukesha, Wisconsin.
    North American Transformer, located in Milpitas, California, manufactures
large-power transformers for the electric utility industry.  It is part of the
Rockwell Automation business unit.
