Ford Motor Company Seeks to Amend Defeasance Provision of its 7-1/4% Notes Due Oct. 1, 2008
    DEARBORN, Mich., Aug. 5 -- Ford Motor Company is
seeking consents from holders of its $500 million of 7-1/4% Notes due October
1, 2008 to expand the defeasance provision applicable to the Notes.  Consents
from holders representing at least two-thirds of the aggregate principal
amount of the Notes are required to approve the amendment.
    If the amendment is effected, Ford will pay each consenting holder $15.00
for each $1,000 of the principal amount of the Notes for which a consent is
given.
