Lloyd 'Buzz' Waterhouse Named Reynolds and Reynolds' President and COO
 IBM's General Manager of E-Business Services Joins Dayton-Based Information
                              Management Leader

    DAYTON, Ohio, April 26 -- The Reynolds and Reynolds Company
announced today that Lloyd G. "Buzz" Waterhouse (47) has joined
the company as president and chief operating officer.  Waterhouse is a 26-year
IBM veteran.
    Most recently, he was general manager of e-business services, one of IBM's
fastest growing business units.  With revenues over $2.7 billion, e-business
services is comprised of leading edge offerings that help companies transform
their business processes using Internet technologies.  Offerings include
security consulting, e-commerce solutions, distance learning and Web hosting.
Waterhouse was an early participant in the formation of the Internet.
    Waterhouse served as the IBM director of strategy during 1994-95, and was
president of Asia Pacific Services Corporation, an IBM subsidiary
headquartered in Tokyo.
    David R. Holmes (58), who will continue as Reynolds' chairman and CEO,
