Shareholders Approve the Acquisition of Aeroquip-Vickers, Inc. by Eaton Corporation

    MAUMEE, Ohio--April 8, 1999--At a special meeting held today, shareholders of Aeroquip-Vickers, Inc. approved the merger of Aeroquip-Vickers with Eaton Industries Inc., a wholly owned subsidiary of Eaton Corporation of Cleveland, Ohio.
    The acquisition is expected to close on April 9.
    Shareholders representing 23,556,489 shares, or 85.2% of the shares outstanding, voted in favor of the merger. A majority of the 27,638,225 shares outstanding were required to approve the merger.
    Aeroquip-Vickers, Inc. is two companies, Aeroquip Corporation and Vickers, Incorporated, world leaders in the design, manufacture and distribution of engineered components and systems to industrial, aerospace and automotive markets.
