Federal-Mogul Withdraws Interest in LucasVarity

    SOUTHFIELD, Mich., Feb. 10 -- Federal-Mogul Corporation
today announced it has withdrawn its interest in acquiring
LucasVarity, plc. After completing extensive due diligence, the
company believes an acquisition of LucasVarity would not clear its financial
hurdles.
    "We are continuing to pursue other strategic growth opportunities which
will provide superior returns to our investors," said Federal-Mogul Chairman
and Chief Executive Officer Dick Snell.  "We congratulate TRW on the
