VSI Holdings, Inc. Forms Advanced Learning Technologies Division
    BLOOMFIELD HILLS, Mich., Feb. 1 -- VSI Holdings, Inc.
(Amex: VIS) today announced it has formed an Advanced Learning Technologies
division to offer customers web-based training solutions.  The new division
will develop online "anytime/anywhere" educational solutions for its corporate
clients, such as Ford Motor Co. and General Motors, to help overcome many
traditional limitations of education and training delivery systems for large
organizations, according to VSIH vice president and director of education and
training, Rob Anderson.
    Advanced Learning Technologies is a natural outgrowth of VSIH's innovative
training solutions including the company's recent investment with Denver-based
Real Education(TM) -- a leading provider of virtual campuses and online
education for colleges and universities throughout the country.  Web-based
training will be provided through VSIH custom Intranet applications as well as
extranet delivery solutions using the Real Education System.  The division
also will provide traditional computer-based training capabilities such as
interactive CD-ROM.  Advanced Learning Technologies will provide extensive
implementation support to client applications through technical consulting,
technology licensing, instructional design, course development, client
communications and fulfillment capabilities.
    "By the year 2003, some industry experts have predicted that as much as 75
percent of all corporate training will be delivered or supported by intranet,
Internet, satellite and other advanced media," said Steve Toth Jr., VSIH
chairman and CEO.  "Our Advanced Learning Technologies Division will help
clients get ahead of the technology curve and take advantage of the
opportunity it represents."
    The new division will complement the company's current education and
training services which include distance learning systems, seminar-based
learning, organization development programs, salesperson certification, video
and print communications, and its multi-purpose training centers.
    VSIH is a full-service supplier utilizing technology and systems for
marketing initiatives, Internet communications, education and training and
"edutainment" (educational entertainment).  The company offers imaginative and
