GenCorp Board Declares Dividend

    FAIRLAWN, Ohio, Jan. 29 -- Today the Board of Directors of
GenCorp Inc. called the Annual Meeting of Shareholders to be held
March 31, 1999, with the record date of February 8, 1999.  The board also
declared a quarterly cash dividend of $0.15 per share on the issued and
outstanding $0.10 par value common stock of the company payable February 26,
1999 to shareholders of record on February 8, 1999.
