Federal-Mogul Corporation Response to TRW's Offer for LucasVarity plc

    SOUTHFIELD, Mich., Jan. 28 -- Federal-Mogul Corporation
notes the offer announced today by TRW .  Federal-Mogul
has already requested from LucasVarity , under rule 20.2 of the UK
Takeover Code, such information not in the public domain, which has already
been provided to TRW.
    In the circumstances, Federal-Mogul strongly advises LucasVarity
shareholders to take no action in relation to TRW's offer until Federal-Mogul
has considered any such information and has put out a further statement.
    Subject to the information provided by LucasVarity, Federal-Mogul may
decide to revise its earlier proposal and to make a formal offer for
LucasVarity.
