Barnes Group Inc. Announces Management Changes

    BRISTOL, Conn.--Jan. 25, 1999--Edmund M. Carpenter, president and CEO of Barnes Group Inc. today announced the appointment of Leonard M. Carlucci, President of Associated Spring, a wholly-owned business unit of Barnes Group Inc.
    Carlucci, a 22-year employee of Barnes Group and an officer of the Company, was formerly president of Bowman Distribution, headquartered in Cleveland, OH, also a wholly-owned business unit of Barnes Group. Prior to his appointment as president of Bowman Distribution, Carlucci was vice president of marketing and sales for Associated Spring, and also a former director marketing and sales for the business unit. He is credited with stabilizing Bowman Distribution and with leading it to higher sales and improved net income. "As president of Associated Spring, he will develop and implement an effective growth strategy for the business," said Carpenter. In addition, until a successor is identified Edmund Carpenter will serve as acting president of Bowman Distribution.
    Carlucci's appointment was announced after Ali A. Fadel, Associated Spring's president, resigned citing differences over strategy and direction for Associated Spring. Fadel began his career with Associated Spring in August 1991, and held a series of positions of increasing responsibility. He is recognized for many accomplishments including the creation of Associated Spring's Center for Advanced Research, a premier research and development facility.
    Carpenter further announced today that William V. Grickis, Jr. vice president, general counsel and secretary of Barnes Group Inc., was leaving for professional and personal reasons. Grickis joined Barnes in February 1997 after many years with Loctite Corporation. He is credited most recently with leading the Corporate Compliance Program, and championing the Company's efforts in environmental, health and safety. "While a search is being conducted for a successor, Charles E. Lindsey, Jr. will be acting general counsel," said Carpenter.
