VSI Holdings Awarded $22 Million Training Contract Extension
    BLOOMFIELD HILLS, Mich., Nov. 23 -- VSI Holdings (VSIH)
(Amex: VIS) today announced it has been awarded a multi-year $22 million
contract extension for organizational change process and development for Ford
and Lincoln Mercury Dealers by Ford Motor Co.
    Since its inception in 1995, nearly 13,000 Ford and Lincoln-Mercury
Dealers and managers, as well as Ford Motor Company representatives, have
participated in the "Excellence In Leadership:  XL2000" curriculum.
Originally conceptualized by a shared decision team of key Dealers and Ford
Motor Company executives, in partnership with VSIH, the goal of XL2000 is to
increase customer satisfaction and owner loyalty by improving the working
relationships between the company and its Dealers, and between Dealership
managers and their employees.
    "Dealership and company participants leave the experience with a whole new
attitude about who they are, and how they relate to their co-workers and
customers," said John Thompson, VSI Holdings vice president.  "It's a very
intense, very personal and very emotional experience."
    The curriculum unfolds each week in the XL2000 Conference Center, a one-
of-a-kind learning environment.  The XL2000 curriculum is a four-step process
in which participants assess where they are; create a vision of where they
want to be; hammer out a plan for getting there; and commit to following it
through.
    "You really have to see the interactions to understand the impact," said
Steve Toth, Jr., president, chairman and CEO, VSIH.  "XL2000 is a remarkably
effective learning experience that teaches participants how to work together
interdependently, share a common vision for success, and then put it into
action."
    In February 1999, the XL2000 Conference Center will celebrate its 100th
conference.
    The VSI Holdings contract also includes (XLA), an in-dealership
consultation and sustainment process that is served over time with periodic
in-dealership training services by VSI Holdings' staff of in-field
consultants.
