National-Standard Notice of Annual Meeting of Shareholders

    NILES, Mich., Nov. 20 -- The annual meeting of the
shareholders of National-Standard Company will be held at the
Windsor Park Conference Center, Mishawaka, Indiana, on the 28th day of
January, 1999, at 9:30 a.m. (EST) for the following purposes:

    1) To elect three directors to serve three years;
    2) To consider any other matters which may properly come before the
meeting or any adjournment thereof.

    The stock transfer books of the Company will not be closed, but only
shareholders of record as of the close of business on December 1, 1998 will be
entitled to notice of and to vote at the meeting.
    Founded in 1907, National-Standard is a Niles, Michigan based firm with
annual sales of approximately $225 million.  In ten operating facilities
throughout the world, the Company manufactures and distributes a broad range
of wire and wire-related products, including tire bead wire and welding wire,
in addition to wire cloth, fabricated filters and inflator housings for the
automotive air bag industry.
