Mannesmann Appoints Members of the Executive Board

Leadership for the Future: Mannesmann Appoints Members of the Executive Board
    DUSSELDORF, Germany, Nov. 20 -- The Supervisory Board of
Mannesmann adopted the following resolutions at today's meeting:

    Prof. Dr. Joachim Funk will retire from the Executive Board of Mannesmann
AG at the next Annual General Meeting to be held on May 28, 1999, at the age
of 65.  A motion will be made at the AGM to elect Dr. Funk to the Supervisory
Board, where it is intended that he should assume the Chairmanship.

    Dr. Klaus Esser (51) has been appointed Chairman of the Executive Board of
Mannesmann AG with effect from May 28, 1999.  Dr. Esser has been on the
Executive Board as Chief Financial Officer since 1994 and Vice Chairman since
February of this year.

    For the first time, the Executive Board will have members with divisional
responsibility in addition to members with functional responsibility.  From
January 1, 1999, Dr. Wolfgang Peter (57) will head Mannesmann Automotive.
Dr. Peter has been a Member of the Executive Board of Mannesmann AG since 1992
and since 1996 in charge of Technology.  Dipl.-Ing. Georg Acker (58), Chairman
of the Management Board of Mannesmann Demag AG, will assume responsibility for
Engineering from January 1, 1999.  Mr. Lars Berg (51), Chief Executive Officer
of Telia A.B., Stockholm, will take over Telecommunications from May 1, 1999.

    Dr. Joachim Rauhut (44), Member of the Management Board of Krauss-Maffei
AG, has been appointed to the Executive Board of Mannesmann AG as Chief
Financial Officer with effect from May 28, 1999.

    Mr. Peter Gerard (51), Divisional Board Member of Transaction Services at
Deutsche Bank AG, has been appointed Deputy Member of the Executive Board of
Mannesmann AG responsible for Controlling.

    Peter Prinz Wittgenstein (58) will head Global Markets from
January 1, 1999.  He will be responsible for Mannesmann's worldwide marketing
and sales efforts as well as for coordinating international business
relations.  Prince Wittgenstein has been a Member of the Executive Board of
Mannesmann AG since 1991 and was responsible for Sales and Procurement.

    Mr. Sigmar Sattler (54) will remain as Labour Relations Director.
Mr. Sattler has been a member of the Executive Board of Mannesmann AG since
1997.
