Tenneco Shareowners Approve New Terms for Four Directors and Arthur Andersen LLP as Accountants

    GREENWICH, Conn., May 12 -- Tenneco today announced
that its shareowners have voted to approve new three-year terms for four
members of the Tenneco board of directors.  Terms expiring at the 2001 Annual
Meeting of Shareowners were approved for  Larry D. Brady, president of FMC
Corporation; M. Kathryn Eickhoff, president of Eickhoff Economics, Inc.; Roger
B. Porter, director of the Center for Business and Government at Harvard
University and IBM Professor of Business and Government; and Tenneco Chairman
and Chief Executive Officer Dana G. Mead.
    Ms. Eickhoff, 58, has been a director of the company since 1987 and is a
member of the executive committee, audit committee, and nominating and
management development committee.  She previously served as a member of the
board of directors from 1982 until her resignation to join the Office of
Management and Budget in 1985.
    Mr. Brady, 55, has been a director of the company since January 1998 and
is a member of the compensation and benefits committee.
    Mr. Porter, 51, has been a director of the company since January 1998 and
is a member of the audit committee.
    Mr. Mead, 62, has been a director of the company since 1992.  He has
served as an executive officer of the company since April 1992, when he joined
Tenneco as Chief Operating Officer.
    Shareowners also approved the appointment of Arthur Andersen
LLP, as independent public accountants for the company, to examine Tenneco's
consolidated financial statements for the year ending December 31, 1998.
Arthur Andersen LLP also acted as the company's principal accountants for the
fiscal year ended December 31, 1997.
