Moto Guzzi S.p.A. to Purchase Production Facility from Philips S.p.A.

        Factory Located on 130,000 Square Meter Parcel in Monza, Italy
                 To Accommodate Planned Production Increases
                   At Trident Rowan Group, Inc. Subsidiary

    SOMERSET, N.J., May 4 -- Trident Rowan Group, Inc.
today announced that Moto Guzzi S.p.A-the company's Italian-
based subsidiary that manufactures high-performance motorcycles-has signed an
agreement to purchase a factory located in Monza, Italy, from Philips S.p.A.
Consummation of Moto Guzzi's acquisition of the Monza facility is subject to
certain conditions. That facility is located on a parcel of land approximately
130,000 square meters in size, on which 35,000 square meters will be utilized
by buildings for Moto Guzzi production, warehousing and office space.
    In making today's announcement, Moto Guzzi Chief Executive Officer, Oscar
Cecchinato, stated, "The Monza facility is substantially more modern, better
configured and offers Moto Guzzi significant technological advantages over our
present location in Mandello, Italy.  It is particularly well suited to
accommodate Moto Guzzi's plans to increase motorcycle production to 20,000-
25,000 units by the year 2001."
    The Monza facility has a powerful, advanced technological infrastructure
that will equip Moto Guzzi with the following state-of-the-art services:

    * Local Area Network (LAN)-Providing automated information flow and
      function controls in all aspects of Moto Guzzi's operations

    * Teleconferencing Center-Enhancing Moto Guzzi's telecommunications
      capabilities

    * Automated Inventory Retrieval-Streamlining inventory management to make
      this operational function more efficient and cost-effective

    It is contemplated that the process of transferring production and
assembly activities from Mandello to Monza will take approximately two years
to complete.
    Moto Guzzi management also expressed its determination to continue the
company's important, historical relationship with Mandello, which was the
birthplace of the company.  Moto Guzzi  plans to maintain its Mandello
presence by keeping company management, sales and marketing, administrative
and financial functions in that location.  Also remaining in Mandello will be
Moto Guzzi's unique museum, which features approximately 150 Moto Guzzi
production models, prototypes and racing models.
    Also commenting on today's announcement was Trident Rowan Group, Inc.
Chairman,  Howard E. Chase, who stated, "Based upon significantly improved
production and sales figures achieved in recent months by Moto Guzzi, the
Trident Rowan Group Board made an important strategic decision to focus
substantially all of the company's resources in support of enhancing the value
of Moto Guzzi. Operating in the Monza facility will enable Moto Guzzi to
achieve greater efficiencies in terms of manufacturing, assembly and delivery
of finished goods." Continued Trident Rowan Group CEO, Mark S. Hauser, "To
meet growing market demand and production requirements, Moto Guzzi needs a
spacious, modern factory as part of this expansion effort-and that is
precisely what the Monza facility provides.  We anticipate this will be a very
positive development for the company."
    Moto Guzzi, which this year will celebrate its 77th anniversary, recently
announced an agreement with Piaggio S.p.A. for the development and manufacture
of four stroke engines for new motorcycles being developed by Moto Guzzi
specifically for urban transport and "sports" applications.
