First Priority Group to Acquire Body Shop Video's Business Development GroupPLAINVIEW, N.Y., March 9 -- First Priority Group, Inc. (OTC Bulletin Board: FPGP), announced today that it signed a letter of intent to acquire substantially all of the assets of Body Shop Video's Business Development Group from Mr. Scott Biggs. Mr. Biggs has agreed to become President of FPG's newly created Collision Repair Business Management and Acquisition Division. Business Development Group is the nation's leading provider of training and management programs for the collision repair industry. Through a variety of education, consultation and proprietary systems, Business Development Group maximizes the profitable and efficient operation of collision repair facilities on an international basis. The exact terms have not been disclosed, but completion of this transaction is subject to satisfactory due diligence and execution of a definitive purchase and sale agreement. It is anticipated that the closing of this transaction is expected within sixty days. Barry Siegel, CEO of FPG stated: "This alliance with Business Development Group should permit FPG to become the clear leader in providing claims and collision repair management for insurance companies and consumers by linking insurers, vehicle claims management, and collision repairers on a nationwide basis. FPG will attain this leadership role in this industry with its proprietary software programs, strategic alliances, equity partners, company owned stores, and its contracted collision repair network of approximately 2,000 shops nationwide." Mr. Biggs stated, "This merger allows us to bring volume to our current membership and aggressively re-engineer the collision claims and repair process. After studying all of the various opportunities in the market, the First Priority Group/Business Development Group merger brings all of the critical elements together to take the industry to the next level." Additionally, FPG announced today that it believes it now qualifies for listing on The Nasdaq SmallCap Market and will apply for listing in several days. FPG also announced today that it has entered into another Direct Appraisal and Repair Program ("DARP") agreement with an auto insurer conducting business in four states, which will continue to build upon FPG's leadership role in providing the nation with a fully managed auto collision repair program. In addition, the Company also announced today that its Affinity Services division has signed several major contracts for their Driver's Shield(TM) auto services and discount program. These contracts are with Reese Brothers, Inc., City Financial Corporation, FNC Insurance Agency (First Nationwide mortgage customers), Roadside Motor Club, Inc., Road America Motor Club, Inc., National Auto Care and Chesapeake Marketing Partners. Reese Brothers is one of the nation's largest telemarketing firms with over one thousand stations and twelve locations. They are currently successfully selling the Driver's Shield program in a "roll-out" to customers of Alliance Mortgage Company and Consumer Action Center, a credit card registration company. The Affinity Services division provides all types of auto maintenance and repair services geared to the consumer. Driver's Shield is offered to members and/or customers of affinity groups, credit card and mortgage companies, financial institutions, employers, credit unions, etc. In light of the above and the recent market valuation of the Company's stock price, FPG has terminated discussions with Citi Growth Funds and a strategic third party investor, concerning a previously negotiated private placement issuance of the Company's common stock, as the original offering price contemplated by the parties for these securities, is no longer attractive and acceptable to the Company. FPG is primarily engaged directly and through its wholly owned subsidiaries in nationwide managed auto care services for self-insured corporate fleets, insurance companies, members of affinity groups and consumers.
