Turbodyne Technologies Becomes U.S. Domiciled

    WOODLAND HILLS, Calif., March 3 -- At a special call
shareholder meeting held in Vancouver, B.C. on February 27, 1998, shareholders
representing a substantial majority of Turbodyne's outstanding common shares
voted to file a Certificate of Domestication with the Secretary of State of
the state of Delaware, changing the company's domicile to Delaware from
Canada.  The company expects to effect the domestication in the second fiscal
quarter of 1998.
    "We are gratified at the support from our shareholders," said Edward
Halimi, Turbodyne's Chairman.  "We believe this change of domicile will
benefit Turbodyne and its shareholders in many meaningful ways."
    "First, this domestication more closely reflects the U.S.-based
operations of Turbodyne, with its headquarters, research, and development,
sales and marketing areas, most of which are located in California."
    "Secondly, this move should provide improved market visibility and
flexibility as our stock trading symbol will no longer carry the 'F', or
foreign designation, once the change is effective.  This should benefit future
financings as well as encourage new investors who might previously have been
prevented from investing in foreign companies."
    "Finally, this move grants us greater flexibility in configuring our
Board of Directors by removing the requirement that a majority be Canadian
residents.  We expect to strengthen the Board's representation across a
variety of disciplines in the coming months."
