ASHA Announces Three New Board Members, Elects Officers

              Management is Now Positioned for the Next Century

    SANTA BARBARA, Calif., Jan. 26 -- At a meeting held on
January 23, 1998, ASHA Corporation's Board of Directors
appointed three new members: David Jones, President and CEO of Outboard Marine
Corporation; Jack McCormack, President and Chief Operating Officer of ASHA,
and Kenneth Black, Vice President of Sales & Marketing of ASHA.
    Following the appointments, the Board voted to elect McCormack as ASHA
Chairman and CEO. He replaces Alain J.M. Clenet who has retired. Kenneth
Black was elected Executive Vice President. Larry Cohen was elected Vice
Chairman.
    ASHA's Board now consists of five independent Directors and two
operational members: Robert Sinclair, retired Chairman and CEO of SAAB USA;
Erick A. Reickert, retired Chairman and CEO of Chrysler de Mexico, Acustar,
Inc. and New Venture Gear; Nick Bartolini, retired Vice President, Parts and
Services Operations, Ford Europe; David Jones, Outboard Marine Corporation;
Larry Cohen, Retired Chairman of BioTime, Inc. and ASHA's McCormack and Black.
    ASHA is the developer of GERODISC(TM), a fully automatic hydromechanical
traction control system that is superior to electronic traction control
systems. When road conditions or weather cause wheels to lose traction and
spin freely, GERODISC seamlessly transfers torque away from the spinning wheel
to the wheel with traction. Benefits of the system include enhanced safety
and handling, reduced wear on brakes and drivetrain, and reduced weight.
    Chrysler Corporation will introduce its new Quadra-Drive(TM) four-wheel
drive system on the 1999 Jeep Grand Cherokee using ASHA's patented GERODISC
technology. The system is being built by New Venture Gear, Auburn Hills, MI.
    ASHA Corporation, headquartered in Santa Barbara, develops advanced
technology products and automotive design and manufacturing techniques for the
global automotive industry. The stock is traded on the NASDAQ SmallCap Market
(Symbol: ASHA).
