GenCorp To Acquire Goodyear's Calhoun Georgia Facility

    FAIRLAWN, Ohio, Jan. 14 -- GenCorp and The
Goodyear Tire & Rubber Company announced today they have reached an agreement
in principle which provides for the sale, by Goodyear to GenCorp, of
Goodyear's Chemical Products Calhoun, Georgia latex manufacturing facility.
The transaction is expected to be completed quickly.  No terms of the
agreement are being disclosed at this time.
    "The acquisition of the Calhoun business is aligned with GenCorp's
strategy to aggressively grow in selected business areas," said GenCorp
Chairman and CEO John Yasinsky.  Calhoun would become part of GenCorp's
Specialty Polymers unit, which is a key growth platform for the Company, with
core competencies and strengths that enable continuing growth in its base
business, and strategic moves into new but related markets.
    Specialty Polymers, with manufacturing facilities in Mogadore, Ohio and
Green Bay, Wisconsin, is a leader in the production of highly engineered latex
polymers for the paper and carpet industries.
    The Calhoun plant, located 70 miles northwest of Atlanta, produces latex
used primarily for carpet backing and fabric treatment.

Polymers, offering a synergistic product, technology and customer base," said

    GenCorp is a market-driven, technology-based manufacturer with leading
positions in numerous polymer product markets as well as the automotive,
aerospace and defense industries.
