Federal-Mogul's Recommended Cash Offer for T&N plc Declared UnconditionalSOUTHFIELD, Mich., Jan. 6 -- Federal-Mogul Global Growth Limited, a wholly-owned indirect subsidiary of Federal-Mogul Corporation announces that its recommended cash offer to acquire the whole of the issued ordinary share capital of T&N plc, has been declared unconditional as to acceptances. By the second closing date under the offer, Friday, January 2, 1998, valid acceptances of the offer had been received in respect of 521,518,581 T&N ordinary shares representing approximately 95% of the entire issued share capital of T&N. Discussions with relevant regulatory authorities are continuing. Federal- Mogul remains confident that all necessary regulatory clearances will be obtained, but is not now expecting to receive these prior to the end of February 1998. On this basis, and at the request of Federal-Mogul and with the consent of T&N, the U.K. Panel on Takeovers and Mergers has agreed to an extension of the time allowed for the satisfaction of the remaining conditions, under Rule 31.7 of the City Code on Takeovers and Mergers, to March 6, 1998. The Panel has indicated that if it becomes necessary for Federal-Mogul to request a further extension of the time allowed for satisfaction of such conditions, the Panel will, in deciding whether or not to grant any such request, consider the possibility of introducing withdrawal rights during such additional period in respect of prior acceptances. Terms defined in the Offer Document dated November 13, 1997 shall have the same meaning in this announcement.
