Cooper Acquires Atlite Lighting Equipment Inc.

    HOUSTON, Dec. 18 -- Cooper Industries, Inc.
announced today that it has acquired Atlite Lighting Equipment Inc.  Atlite,
headquartered in Maspeth, New York, manufactures emergency and recessed
lighting fixtures primarily used in commercial applications.  The company's
revenues are about $18 million.  Terms of the agreement were not disclosed.
    Atlite adds to Cooper's already broad lighting fixture line," said H. John
Riley, Jr., Cooper's Chairman, President and Chief Executive Officer. "At the
same time, Atlite's customer base affords us greater opportunities to market
other Cooper lighting products."
    Atlite's principal products include exit and emergency signs that utilize
light emitting diodes (LED), a leading edge, energy efficient light source.
Atlite will become part of the Cooper Lighting Division, reporting to the
division's president, Fritz Zeck.
    The Cooper Lighting Division of Cooper Industries manufactures recessed,
track, fluorescent, and emergency lighting fixtures.  Headquartered in Elk
Grove Village, Illinois, the division has manufacturing facilities in seven
domestic and five international locations and employs approximately 4,600
people worldwide.
    Cooper Industries, with 1996 revenues of $5.3 billion, is a diversified,
