Carlisle to Form Joint Venture with Lander Plastics Limited

    SYRACUSE, N.Y., Nov. 20 -- Carlisle Companies Incorporated
announced today that its Carlisle Engineered Products subsidiary
has entered into a letter of intent to form an equally owned joint venture
company with Lander Plastics Limited, a privately held company located in
Birmingham, England.  Lander Plastics, which will be known as Lander-Carlisle
Limited after the closing, manufactures and distributes injection molded
plastic components to automotive customers in the United Kingdom and other
European countries.
    Allen J. Hofmann, President of Carlisle Engineered Products, commented,
"The formation of Lander-Carlisle Limited will expand our capability to serve
our global customers close to their production sites and will open doors for
business with new customers in Europe.  We are pleased to be associated with a
company of Lander's quality."
    The affiliation will combine Carlisle's value-added design and engineering
strengths in automotive components with Lander's solid reputation for
supplying high quality products to European automotive customers.
    Terms of the transaction were not disclosed.  The transaction is subject
to the execution of a definitive agreement and is expected to close in
December.
