Corporate Announcement From Virtual Technologies, Inc.SCOTTSDALE, Ariz., Nov. 14 -- Virtual Technologies, Inc., (OTC BULLETIN BOARD: VTNO) -- The Annual Meeting of the Company has been scheduled for November 22, 1997, for shareholders of Record Date November 10, 1997. The Company is seeking shareholder approval for a change of name to SOLPOWER CORPORATION to better reflect the Company's product line. The Company has the exclusive manufacturing, distribution, marketing and sales rights to SOLTRON for the United States, Canada, and Mexico. SOLTRON is an organic enzyme based fuel enhancer that significantly reduces emissions and particulates from the combustion of fossil fuels, while increasing fuel economy and power. When mixed with liquid fuels SOLTRON changes the molecular structure of fuel, and improves the absorption of oxygen. The enzymes prevent fuel degradation by "feeding" and multiplying on damaging contaminants. Extensive testing of SOLTRON by industry organizations including Ford Australia and Toyota Japan, and now U.S. companies and government agencies, have verified its multiple benefits. Results from these independent tests and multi-million dollar sales of SOLTRON in the Pacific Rim region confirm the effectiveness of the product. The shareholders will also be asked to re-elect the following Directors: Leif Schipper -- President & Director. Mr. Schipper received his Masters Degree in Taxation at Melbourne University and a B.Sc. Degree in Economics and Accounting from Monash University. For the past 20 years Mr. Schipper has extensively worked for companies involved in numerous industries with heavy emphasis on those involved in Technology Development, as a direct result of his background schooling in the field of Physics and Chemistry. Mr. Schipper was recently made a fellow of the Australian Society of Certified Accountants in recognition of continued involvement in the profession, together with the Specialist Designation in Taxation (FCPA Taxation). Jerry W. Goddard -- Director. Mr. Goddard is the Managing Director of Prime Mortgage Group Limited, Melbourne, Australia, and is responsible for the implementation of strategies including fund raising and marketing of the banking group's products to the financial community. Mr. Goddard has over 30 years experience in corporate banking and finance and has a broad knowledge of lending and asset management in the residential and commercial property markets. Naoya Yoshikawa -- Director. Mr. Yoshikawa is the President of Crest Japan Inc. and General Manager of Dominion Capital Japan Ltd., representing Solpower Australia Pty. Ltd. and SOLTRON operations in Japan. Mr. Yoshikawa has a Masters Degree in Economics and Business Administration and is Honorary Professor of the University of Mindanao for Environment and Protection. Mr. Yoshikawa is also President of the Japan American Friendship Association and President of the Association of Clean Air Devices and was recently appointed Director of MEPO (Mindanao Environment Protection Organization) and has varied business interests throughout the Asian rim area.
