AlliedSignal Elects Burnham and Poses Vice Chairmen of Board

    MORRIS TOWNSHIP, NJ, Oct. 1 -- AlliedSignal Inc.
announced today that Daniel P. Burnham and Frederic M. Poses have been elected
to the Board of Directors and as Vice Chairmen of the Board.  Burnham and
Poses had been presidents of AlliedSignal's Aerospace and Engineered Materials
sectors, respectively.  They will continue to report to Lawrence A. Bossidy,
Chairman of the Board and Chief Executive Officer.
    John W. Barter, who had been president of the Automotive sector, informed
Bossidy of his decision to leave the company in order to invest in and develop
small businesses.  Barter has agreed to stay on until April 1998 to conclude
certain activities in which he has been involved.
    "Dan Burnham and Fred Poses have performed outstandingly throughout their
long careers with AlliedSignal, and in their new roles they will help
accelerate our growth and productivity initiatives," said Bossidy.  "We are
grateful to John Barter for his 24 years of excellent service to the company,
particularly for the major strategic change he led in our automotive
businesses, his valued counsel as a member of the Leadership Committee and his
redesign of our finance organization during his tenure as chief financial
officer."
    Burnham joined AlliedSignal as Vice President and Corporate Controller in
1982, having previously been with The Carborundum Company.  He was named
President of the Aerospace sector in 1991.  Born in 1946, he holds a B.S. in
economics from Xavier University and an M.B.A. from the University of New
Hampshire.  He is a member of the board of governors of the Aerospace
Industries Association and is a trustee of Xavier University.
    Poses joined AlliedSignal as a financial analyst in 1969 and was named
President of the Engineered Materials sector in 1988.  He serves on the board
of directors of the 92nd Street Y and is a trustee of the Riverdale Country
School.  Born in 1942, he holds a B.B.A. from New York University and served
with the Peace Corps in Peru for two years.
    Bossidy announced that AlliedSignal will be reorganized into 11 business
units, eliminating the sector superstructure.  The three sector offices --
Aerospace, Automotive and Engineered Materials -- will close in about 30 days,
and their functions will either move to the corporate or business unit level
or be eliminated.
    The finance, law, human resources and communications, and information
systems functions will continue to report to Bossidy.  Reporting to Burnham
will be Turbocharging Systems, Engines, Aerospace Equipment Systems,
Electronics and Avionics Systems, Aerospace Marketing Sales & Service, Federal
Manufacturing & Technologies and the company's productivity initiatives.
Reporting to Poses will be the Automotive Products Group (which includes
Friction Materials, Filters & Spark Plugs, Prestone and Automotive
Aftermarket products), Truck Brake Systems, Specialty Chemicals, Polymers,
Electronic Materials, and the company's Business Services and growth
initiatives.
    "Six years ago," said Bossidy, "AlliedSignal had more than 60 business
units, which were small, regional and incapable of operating independently or
attracting senior talent.  Today, we have 11 business units, each of which is
a significant factor in its market and has global reach, world-class talent
and the critical mass to operate autonomously.  Removing the sector layer will
enable these businesses to make faster decisions and serve customers
with greater speed, flexibility and cost effectiveness."
    Bossidy noted that all positions in the reorganization will be filled
internally, "reflecting the outstanding management bench strength that the
company has developed over the last several years."
