Intermet Corporation Files Form S-3 In Preparation for Secondary Stock Offering

    TROY, Mich., Aug. 4 -- Intermet Corporation
today announced the filing of a Form S-3 registration statement with the
Securities and Exchange Commission with respect to a proposed secondary
offering of 3,000,000 shares of common stock and an additional 450,000 shares
if the Underwriters' overallotment option is exercised.  The managing
underwriters of the offering will be Donaldson, Lufkin & Jenrette Securities
Corporation, Prudential Securities Incorporated and Interstate/Johnson Lane
Corporation.
    All of the shares will be sold by George Mathews, Jr., and certain members
of his family and related trusts.  Mathews, the founder of the company, and
formerly the company's chairman, chief executive officer and president,
retired as an officer and employee in 1994.  Mathews has remained on the
company's board of directors.  The company will not receive any of the
proceeds from the sale of the shares.
    A registration statement relating to these securities has been filed with
the Securities and Exchange Commission but has not yet become effective.
These securities may not be sold, nor may offers to buy be accepted, prior to
the time the Registration Statement becomes effective.  This news release
