Digitron and CMI International Finalize Joint Venture

    FERNDALE, Mich., July 30 -- Nestor Fernandez, President of
Digitron, Inc., and Ray Witt, Chairman of CMI International, Inc., signed an
agreement today establishing a joint venture between the two companies.  This
joint venture will be a full service supplier of automotive exhaust manifolds
and brackets.  The new company, Digitron-CMI, L.L.C., will be the largest
producer of exhaust manifolds in North America.
    The new company will be a certified Minority Business Enterprise with
seamless support from Digitron and CMI.  The venture provides automakers with
a strong domestic supplier of exhaust manifolds and brackets, having extensive
full service design and testing capabilities, and a wide range of
manufacturing expertise needed to optimize design, material and manufacturing
process requirements.
    Digitron has the majority ownership and management responsibility with
initial operations at an existing facility in Miamisburg, Ohio; this plant
will initially machine exhaust manifolds that are presently sourced to
Digitron and CMI.
    Advancements in the automotive industry have led to new higher performance
engines typically requiring high temperature materials for exhaust manifolds
such as ferritic, high silicon molybdenum and Ni-Resist ductile irons, as well
as ferritic and austenitic grades of cast stainless steel.  Digitron-CMI,
L.L.C. has the ability to supply fully machined exhaust manifolds in any of
these cast materials, providing the durability and NVH characteristics
expected in today's new designs.
