Republic Industries, Inc. To Acquire Dealerships In Northern California

      Anderson Dealership Group includes Chevrolet, Honda, Isuzu, Lexus,
                           Cadillac and Oldsmobile

    FORT LAUDERDALE, Fla., July 22 -- Republic Industries, Inc.
announced today that it has signed a definitive agreement to
acquire The Anderson Dealership Group of Menlo Park, California for
approximately $40 million, payable in Republic common stock.  The acquisition
will be Republic's first in northern California and is subject to certain
conditions, including manufacturer and government approval.
    The Anderson Dealership Group includes Chevrolet, Honda, Isuzu, Lexus,
Cadillac, and Oldsmobile dealerships.
    As a result of the proposed transaction, John M. Anderson, 50, President
of The Anderson Dealership Group, will enter into a long-term employment
agreement with Republic Industries and will retain his responsibilities at the
dealership.  Republic also expects to retain all of the other members of the
senior management team and employees of The Anderson Dealership Group.
    According to Steven R. Berrard, President and Co-Chief Executive Officer
of Republic, "The Anderson acquisition gives Republic a foothold in the
important northern California market.  Building from this base, Republic will
add AutoNation USA used car megastores, and will fold in existing car rental
operations, to create the foundation of a market cluster."
    John Anderson said, "By joining with Republic, The Anderson Dealership
Group is making an investment in the future of automotive retailing.  We are

experience in the northern California market, and to building our businesses
