U.S. Justice Department Clears Sale of Ryder Auto Carriers

MIAMI, July 8 -- The period for anti-trust review under the
Hart-Scott-Rodino Act of the proposed sale by Ryder System, Inc. of
Ryder Automotive Carrier Services, Inc. and RC Management Corp. to Allied
Holdings, Inc. has expired without further action by U. S.
government regulatory agencies, it was announced here today by Ryder Chairman,
President and Chief Executive Officer M. Anthony Burns. The proposed sale is
still contingent upon Canadian government regulatory approval and finalizing a
definitive agreement.
Ryder announced an agreement in principle on May 27, 1997 to sell the two
units to Allied Holdings. The agreement calls for the sale to be made for
approximately $114.5 million and assumption by Allied of the liabilities of
the business.
