Autocam Announces Purchase of the Hamilton Group

    KENTWOOD, Mich., June 30 -- Kentwood, Michigan-based Autocam
Corporation today announced the purchase of the net assets of
The Hamilton Group, Inc., with manufacturing facilities in Dowagiac, Michigan,
and Gaffney, South Carolina, for approximately $18 million.  The Hamilton
Group manufactures precision-machined parts primarily for the automotive
industry.
    "The completion of this acquisition is consistent with our corporate
objectives, including solidifying our customer relationships," President John
C. Kennedy said.  "Adding Hamilton's product line broadens our product
offerings to the braking industry and expands our relationship with a key
common customer."  Autocam and Hamilton employ very similar technologies and
processes in their operations which should facilitate a smooth integration of
the two organizations, Kennedy added.
    In its most recent fiscal years, Hamilton has generated sales ranging from
$13-15 million and Kennedy indicated that once the two companies are fully
integrated, earnings accretion of approximately 15% over current fiscal 1998
street estimates can be expected.  Hamilton employs approximately 80 people in
Dowagiac and 30 in Gaffney which affords the Company access to new skilled
machinists which will be important to its future growth plans.
    The Company expects to finance the purchase through borrowings from its
primary lending institutions.
    Billow Butler & Company, L.L.C., an investment banking firm headquartered
in Chicago, Illinois, served as an advisor in this transaction.
