Speedway Motorsports Submits Merger Offer for North Carolina Motor SpeedwayCONCORD, N.C., April 2 -- Speedway Motorsports, Inc. , today announced it has submitted a merger offer to the board of directors of North Carolina Motor Speedway, Inc. ("NCMS") in Rockingham, N.C. Under the terms of the Agreement, each stockholder of NCMS would receive, at stockholder option, either $23 in cash per share of NCMS stock or one share of Speedway Motorsports, Inc. stock for one share of NCMS stock. The agreement and the merger are subject to customary conditions, and any offering of stock would only be made by means of a prospectus. Speedway Motorsports, Inc. labeled the offer a "white knight" alternative to Tuesday's proposal by another publicly traded motorsports promoter to merge with NCMS. Host of two NASCAR Winston Cup events, NCMS is a one-mile oval track located in Rockingham, North Carolina, approximately 80 miles east of Charlotte. The speedway was constructed in 1965 by a group of local investors. Its two NASCAR Winston Cup Series events are the "Goodwrench Service 400" in February and the "ACDelco 400" in October. It also hosts two Busch Series Grand National Division events, the "Goodwrench Service 200" in February and the "ACDelco 200" in October. The track has 42,951 reserved and 3,000 unreserved grandstand seats as well as 33 luxury boxes.
