Standard Motor Products Enters Into Agreement to Acquire the Filko
Automotive Division of F&B Mfg. Co.

NEW YORK, Dec. 3 -- Standard Motor Products, Inc.
, automotive replacement parts manufacturer and distributor,
announces that it has entered into a Letter of Intent to acquire the
assets and assume certain liabilities of the Filko Automotive Division
of F&B Mfg. Co. of Des Plaines, Illinois. Filko Automotive assembles
and distributes ignition, emissions and wire products to traditional
and retail aftermarket customers in North America, primarily under the
Filko and Cobra brands.  This acquisition will expand Standard's
presence in the engine management product lines and permit further
expansion in non-traditional channels of distribution.

Closing of the acquisition, which is targeted for mid-January of 1997,
is subject to entering into a definitive Purchase Agreement, and
approval of the Board of Directors of Standard Motor Products and the
stockholders of F&B Mfg. Co., among other conditions.
