Federal-Mogul Enters into Agreement to Sell Its Overseas Heavy Wall
Bearing Operations

SOUTHFIELD, Mich., Dec. 3 -- Federal-Mogul Corporation
Chairman and Chief Executive Officer Richard A.  (Dick)
Snell today announced the company has entered into an agreement to
sell its heavy wall bearing operations in Germany and Brazil to
Zollern BHW Gleitlager GmbH, a member of the Fuerstlich
Hohenzollernsche Werke Laucherthal GmbH & Co.

The sale includes the Braunschweiger Huettenwerk (BHW) GmbH subsidiary
with facilities in Braunschweig and Wildemann, Germany and the Glyco
do Brasil Industria Metalurgica Limitada subsidiary in Cataguasas,
Brazil. The heavy wall bearing operations employ approximately 425
employees in Germany and 140 employees in Brazil in the manufacture of
bearings for large diesel engines, gears and general industrial
machinery. With annual sales of approximately DM 70 million, its main
customers include manufacturers of engines for large ships and power
stations.

"The sale of this non-core business will complete our divestiture
plans for manufacturing operations," said Snell. "This will allow
Federal-Mogul management to focus attention and resources on being a
valued manufacturer and distributor of automotive and truck parts to
both our original equipment and aftermarket customers."

Completion of the sale is subject to various conditions and is
expected to be completed in the next 30 days.

Founded in 1708, Zollern's primary business areas include casting
technology, steel profile, mechanical components, gears and
winches. For the current business year, Zollern's sales are forecasted
at DM 340 million.
