Federal-Mogul Announces Closure on Sale of its Ball Bearing Operations

Federal-Mogul Completes Sale of its U.S. Ball Bearing Manufacturing
Operations

SOUTHFIELD, Mich., Nov. 26 -- Federal-Mogul Corporation
Chairman and Chief Executive Officer Richard A.  (Dick)
Snell today reported the company completed the previously announced
sale of the assets and original equipment business of its U.S. ball
bearing manufacturing operations to NTN-BCA Corporation, a member of
the NTN Group, headquartered in Osaka, Japan.

Under the terms of the agreement, Federal-Mogul received an
undisclosed amount in cash and retained customer receivables, while
NTN acquired the remaining assets and assumed the liabilities of the
ball bearing business conducted in Lititz, Pennsylvania and
Greensburg, Indiana.

Federal-Mogul will continue to supply ball bearings to aftermarket
customers worldwide through long term sourcing arrangements with the
NTN Group. With this transaction, the NTN Group has become
Federal-Mogul's largest supply partner.

As a result of selling Federal-Mogul's niche position in ball
bearings, annual sales to original equipment manufacturers will
decline by nearly $50 million, total employment will be reduced by
approximately 900 and the effect on future earnings should be
relatively neutral.

Other than the previously announced intention to sell Federal-Mogul's
heavy wall bearing business in Germany and Brazil, this concludes our
divestiture plans of manufacturing operations for the foreseeable
future.
