LOS ANGELES--(BUSINESS WIRE)--Fisker Inc. (“Fisker”) today announced that it has entered into an at-the-market distribution agreement, dated May 24, 2022 (the "Distribution Agreement"), with J.P. Morgan Securities LLC and Cowen and Company, LLC (collectively, the “Agents”) as the sales agents, pursuant to which Fisker established an at-the-market equity program (the “ATM Program”). Pursuant to the ATM Program, Fisker may, at its discretion and from time to time during the term of the Distribution Agreement, sell, through the Agents, shares of its Class A Common Stock, par value $0.00001 (the “Class A Common Stock”) as would result in aggregate gross proceeds to Fisker of up to $350 million by any method permitted by law deemed to be an “at-the-market offering” as defined in Rule 415 of the Securities Act of 1933, as amended, including without limitation sales made directly on the New York Stock Exchange, on any other existing trading market for the Class A Common Stock or to or through a market maker. In addition, the sales agents may also sell the shares of Class A Common Stock by any other method permitted by law, including, but not limited to, negotiated transactions.
Fisker intends to use the net proceeds that it receives from the ATM Program for the development of the Fisker Personal Electric Automotive Revolution (PEAR) and additional vehicle development, retail development, additional technology development and general corporate purposes. Since the Class A Common Stock will be distributed at market prices prevailing at the time of the sale, prices may vary between purchasers and during the period of distribution. The volume and timing of sales, if any, will be determined at the sole discretion of Fisker's management and in accordance with the terms of the Distribution Agreement.
